甲乙双方经协商，于______年____月____日订立本合同，并就以下各条款达成协议：
第一条：租赁范围及用途
1、甲方同意将上海市路弄号室的房屋及其设施租赁给乙方，计租建筑面积为_____平方米。

第二条：提供设备

第四条：租金

第六条：物业管理费及其它费用
1、物业管理费由方按照物业管理公司的有关规定和收费标准支付。
2、租赁场所内的清洁由乙方自行负责。
3、其他因使用该房屋所产生的有关费用由乙方负担,如：水、电、煤气、有线电视、电话费等。
第七条：押金
1、为保证本合同的全面履行，在签订本合同时，乙方应支付给甲方____个月租金的押金，押金不计利息，合同终止时，退还乙方。
若乙方不履行合同，则押金不予返还;若甲方不履行合同，则应将押金全额返还并赔偿乙方壹个月的租金费用作为因租房造成的损失。
但因市容整顿和市政动迁而无法续租的房屋除外，甲方可不作任何损失赔偿，此合同即可终止。
2、租借期内，无特殊情况，甲乙双方不得私自随意加减租金和更改终止合同租借期。
3、甲方有权向乙方查阅支付国际长途的费用，或乙方使用国际长途电话，可由甲方代买国际长途电话使用卡，费用由乙方支付(根据卡上密码可在室内电话机上直拨)。
甲方有权向乙方追索。
第：禁止租赁权的转让及转借
乙方不得发生下列行为：
1、租赁权转让或用作担保。
2、将租赁场所的全部或一部分转借给第三者或让第三者使用。
3、未经甲方同意，在租赁场所内与第三者共同使用。
第九条：维修保养
1、租赁场所内属于甲方所有的内装修及各种设备需要维修保养时，乙方应及时通知甲方或物业公司，甲方并及时安排维修保养。
重要设备需要进行大修理时，应通知甲方。
2、上述维修保养费用由甲方承担，但若由于乙方原因造成的修理，则费用由乙方承担。
3、属乙方所有的内装修及各种设备需要保养时，由乙方自行进行并承担费用。
第十条：变更原状
1、乙方如对所租的房屋重新装修或变动设备及结构时，须事先征得甲方的书面同意，所有费用由乙方承担。
2、乙方在实施上述工程时，须与甲方及时联系，工程完毕后应通知甲方检查。
3、乙方违反本合同上述规定的，甲方有权要求恢复原状，赔偿损失。
第十一条：损害赔偿
由于乙方及其使用人或有关人员的故意或重大过失行为而对甲方、其他租户或者第三者造成损害时，一切赔偿均由乙方承担。
第十二条：甲方免责：
1、因地震、水灾、或非甲方故意造成，或非甲方过失造成的火灾、盗窃、各种设备故障而引起的损害，甲方概不负责，但甲方有过错或重大过失的情况除外。
2、乙方因被其他客户牵连而蒙受损害时，甲方概不负责。
第十三条：乙方责任
1、必须遵守本大楼的物业管理制度。
2、必须妥善使用租赁场所及公用部分。
3、不得在大楼内发生下列行为：
(1)将超重、易燃、易爆、易腐蚀等危险物品带入楼内或实施其他有害于大楼安全的行为;
(2)给甲方或其他租户(业主)带来损害的行为，以及对整个建筑物造成损害的一切行为;
(3)违治安、和违法行为。
第十四条：通知义务
1、甲乙双方所发生的通知均采用书面形式。
2、任一方的姓名、商号、地址及总公司所在地、代表者若发生变更时，须及时以书面形式通知另一方。
第十五条：合同终止
因自然灾害及其他不可抗力事件，使大楼的全部或一部分损坏、破损而导致乙方租赁场所不能使用时，本合同自然终止。
第十六条：合同解除
乙方如发生以下行为之一时，甲方可不通知乙方而解除本合同，如对甲方造成损失的，乙方还应承担赔偿经济损失的责任。
1、租金及其他债务超过半个月以上未付;
2、租赁场所的使用违反本合同第一条规定的;
3、违反本合同的有关规定的;
4、违反本合同第八、第十四条规定的;
5、给其他租户(业主)生活造成严重妨碍，租户(业主)反映强烈的;
6、触犯法律、法规、被拘留或成为刑事诉讼(公诉)被告的，以及本人死亡或被宣告失踪等情况发生的;
7、有明显失信或欺诈行为的事实的;
8、甲方出现前述第3、4或第7项行为的，乙方有权不通知甲方而解除合同，如对乙方造成损失的，甲方还应赔偿乙方遭受的损失。
第十七条：特别说明
1、除第十六条和第二十条所述原因外，租赁期内，乙方不得解除本合同。
若遇特殊情况须解除时，须以书面形式提前一个月通知甲方，但不得收回押金。
2、合同签订后，租赁期开始前，由于乙方原因须解除合同时，乙方须把已缴的押金作为违约金支付给甲方。
第十：租赁场所的归还
合同终止时，乙方应将租赁场所内属于乙方所有的一切物品，包括内装修各类设备、材料全部撤除，使租赁场所恢复原状，并经甲方检查认可后由甲方收回，所需费用由乙方承担。
第十九条：纠纷解决
对本合同的权力、义务发生争议时，如调解不成，可向有关管辖的房屋所在地的中国提出诉讼。

3. 如乙方逾期支付租金超过十天，则每天以月租金的0.5%支付滞纳金;如乙方逾期支付租金超过十五天，则视为乙方自动退租，构成违约，甲方有权收回房屋，并追究乙方违约责任。
in case the rental is more than ten working days overdue， party b will pay 0.5 percent of monthly rental as overdue fine every day， if the rental be paid 5 days overdue， party b will be deemed to have with drawn from the premises and breach the contract. in this situation， party a has the right to take back the premises and take actions against party b's breach.
五、 保证金 deposit
. 为确保房屋及其附属设施之安全与完好，及租赁期内相关费用之如期结算，乙方同意于______年_____月_____日前支付给甲方保证金人民币 _________元整，甲方在收到保证金后予以书面签收。

2. 除合同另有约定外，甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的当天将保证金全额无息退还乙方。
unless otherwise provided for by this contract， party a will return full amount of the deposit without interest on the day when this contract expires and party b clears the premises and has paid all due rental and other expenses.
3. 因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用，甲方可在保证金中抵扣，不足部分乙方必须在接到甲方付款通知后十日内补足。
in case party b breaches this contract， party a has right to deduct the default fine， compensation for damage or any other expenses from the deposit . in case the deposit is not sufficient to cover such items， party b should pay the insufficiency within ten days after receiving the written notice of payment from party a.
六、 甲方义务 obligations of party a
. 甲方须按时将房屋及附属设施(详见附件)交付乙方使用。
party a will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using.
2. 房屋设施如因质量原因、自然损耗或灾害而受到损坏，甲方有修缮并承担相关费用的责任。
in case the premise and attached facilities are damaged by quality problems， natural damages or disasters， party a will be reonsible to repair and pay the relevant expenses.
3. 甲方应确保出租的房屋享有出租的权利，反之如乙方权益因此遭受损害，甲方应负赔偿责任。
party a will guarantee the lease right of the premises. otherwise， party a will be reonsible to compensate party b's losses.
七、 乙方义务 obligations of party b
. 乙方应按合同的规定按时支付定金、租金及保证金。
party b will pay the rental， the deposit and other expenses on time.
2. 乙方经甲方同意，可在房屋内添置设备。租赁期满后，乙方将添置的设备搬走，并保证不影响房屋的完好及正常使用。
party b may decorate the premises and add new facilities with party a's approval. when this contract expires， party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.
3. 未经甲方同意，乙方不得将承租的房屋转租或分租，并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损，乙方应承担赔偿责任。
party b will not transfer the lease of the premises or sublet it without party a's approval and should take good care of the premises. otherwise， party b will be reonsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4. 乙方应按本合同规定合法使用该房屋，不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则，如该房屋及附属设施因此受损，乙方应承担全部责任。
party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise， party b will be reonsible for the damages caused by it
5. 乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用，并按单如期缴纳。
party b will bear the cost of utilities such as communications， water， electricity， gas， management fee etc. on time during the lease term.
八、 合同终止及解除的规定 termination and dissolution of the contract
. 乙方在租赁期满后如需退租或续租，应提前两个月通知甲方，由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。
within two months before the contract expires， party b will notify party a if it intends to extend the leasehold. in this situation， two parties will discuss matters over the extension.
2. 租赁期满后，乙方应在当天将房屋交还甲方;任何滞留物，如未取得甲方谅解，均视为放弃，任凭甲方处置，乙方决无异议。
when the lease term expires， party b will return the premises and attached facilities to party a within days. any belongings left in it without party a's previous understanding will be deemed to be abandoned by party b. in this situation， party a has the right to diose of it and party a will raise no objection.
3. 本合同一经双方签字后立即生效;未经双方同意，不得任意终止，如有未尽事宜，甲、乙双方可另行协商。
this contract will be effective after being signed by both parties. any party has no right to terminate this contract without another party's agreement. anything not covered in this contract will be discussed separately by both parties
九、 违约及处理 breach of the contract
. 甲、乙双方任何一方在未征得对方谅解的情况下，不履行本合同规定条款，导致本合同中途中止，则视为该方违约，双方同意违约金为人民币___________元整，若违约金不足弥补无过错方之损失，则违约方还需就不足部分支付赔偿金。

十、 其他 miscellaneous

2、房屋及附属设施如非乙方的过失或错误使用而受到损坏时，甲方有维缮的责任并承担相关的费用。
3、甲方应保证所出租房屋权属清楚，无共同人意见，无使用之纠纷。
七、乙方义务
1、乙方在租赁期内保证该租赁房屋内的所有活动均能合乎中国的法律及该地点管理规定、不作任何违法行为。
2、乙方应按合同的规定，按时支付租金及其他费用。
3、未经甲方同意，乙方不能改变所租赁房屋的结构、装修，并爱护使用租赁的房屋，乙方不得将承租的房屋转租，如因乙方的过失或过错使房屋及设施受到损坏，乙方应负责赔偿。

九、违约处理
